The trial court was the People's Court of Tinghu District, Yancheng City, Jiangsu Province.

Among them, Chengdu Natural Stay is the operating company of the tea beverage brand "Natural Stay", and Guan Xiaotong has repeatedly promoted and stood for "Natural Stay" as a "store manager". Other defendants include Sichuan Zhishan Brand Management Co., Ltd., Tongmeng Xinyuan Cultural Media Co., Ltd., Yancheng Qingnian Catering Management Co., Ltd., and Xu.

This is not the first time that tea brand "Natural Daisy" has been sued in court.

According to Tianyancha, since 2023, Chengdu Natural Stay has been sued by Quanzhou Youzhile Catering Management Co., Ltd., Jinheitu Catering Management Co., Ltd., Xinjiang Chengkai Catering Co., Ltd., and multiple natural persons for a "franchise contract dispute".

Prior to this, in July 2022, Wenzhou Ouge Catering Management Co., Ltd., a franchisee of "Natural Dai", also sued Chengdu Natural Dai and Guan Xiaotong for a franchise contract dispute.

At that time, Mr. Bao, the legal representative of Wenzhou Ouge, introduced that after seeing the franchise promotion information, he was optimistic about the prospects of the milk tea industry and had Guan Xiaotong endorse it. When he went to Chengdu for inspection, he saw that the store's business was booming and decided to join the agency. But later on, he learned that many franchisees were actually in a loss making state, and he found out that Natural Dai Company did not have the qualifications to open up franchise chains. "Despite charging us such high franchise fees, all aspects of the supporting services were done in a mess." After only 6 months of opening as a franchisee of "Natural Stay", the store was closed due to excessive losses. From joining to closing, the company invested a total of about 3 million yuan. As the major shareholder, Mr. Bao invested over 1 million yuan, but in the end, he lost everything.

Mr. Bao said that before the closure of the milk tea shop, he had negotiated multiple times with the natural tea company to terminate the cooperation and refund the franchise fee, but the other party refused.

In response to this, the headquarters of "Natural Dai" has issued a statement stating that "the case is a franchise contract dispute, and the acceptance and trial of the case are the normal workflow of the court. Ms. Guan Xiaotong has never participated in our company's business management work, and some people with ulterior motives are currently hyping it up. However, our company firmly believes in the fairness and justice of the law and believes that the court will make a fair judgment. We deeply apologize for the inconvenience caused to Ms. Guan Xiaotong by this case."

The number of "natural dull" stores has sharply decreased

In the early stages of the opening of the "Natural Stupid" milk tea store, Guan Xiaotong had repeatedly promoted and supported it as a "store manager". However, in April last year, "Guan Xiaotong and his affiliated milk tea company were sued" made a hot search on Weibo. Subsequently, "Natural Daisy" issued a statement to clarify the relationship between Guan Xiaotong and "Natural Daisy", stating that "Ms. Guan Xiaotong is not the contracting party and has not participated in the company's management work."

There is indeed no direct equity relationship between Guan Xiaotong and "Natural Dai", but Tong Meng Xin Yuan Cultural Media Co., Ltd., controlled by Guan Xiaotong's father Guan Shaozeng, is the second largest shareholder of "Natural Dai".

According to information from Tianyancha, the "Natural Dai" milk tea brand belongs to Chengdu Natural Dai. Chengdu Tianyun Enterprise Management Co., Ltd. is the largest shareholder of Chengdu Natural Energy with a 65% stake, while Tongmeng Xinyuan is the second largest shareholder with a 35% stake.

"Natural Dazai" was founded in 2020, mainly expanding its store network through franchise models. Narrow door restaurants show that "Natural Dazai" opened 181 stores in 2021 and 16 stores in 2022. As of May 15, 2023, "Natural Dazai" only had 47 stores nationwide, which also means that a large number of natural Dazai stores have been closed since last year.

It is worth mentioning that the operators behind "Natural Stupid" are Sichuan Zhishan Brand Management Co., Ltd., just like the Xianhezhuang braised hot pot founded by Chen He.
